Grio Terms of Service

1. Service Provider and Agreement

These Terms govern use of the Grio mobile application, website, and related coaching services provided by ManyWorlds ("we," "us," or "our"). "Grio" means the app, website, software, content, AI-assisted coaching features, account features, subscriptions, and related services we provide.

By installing, accessing, or using Grio, the user agrees to these Terms, the Privacy Policy, and any supplemental notices that apply to selected features, including the Washington Consumer Health Data Privacy Policy where applicable. If the user does not agree, the user must not use Grio.

2. Eligibility

Grio is intended for users who are at least 14 years old, or older if a higher minimum age is required in the user's jurisdiction. A user under the age of majority may use Grio only with consent and supervision from a parent or legal guardian who accepts responsibility for that use.

3. Medical Disclaimer

Grio is not a healthcare provider, medical device, or emergency monitoring tool. Coach messages, meal and activity suggestions, energy explanations, and AI-generated responses are for general wellness and weight-management support only. They are not medical advice, diagnosis, treatment, prescription, or emergency judgment.

Users should consult a qualified professional before relying on Grio in situations involving disease, pregnancy, eating disorders, chronic conditions, injuries, medication, rapid weight change, or other medical concerns. In an emergency, call local emergency services immediately.

Users remain responsible for their own health, food, exercise, medication, and safety decisions. Grio does not replace professional judgment, and users should not delay or avoid professional care because of information from Grio.

4. AI Coaching Limitations

Grio uses third-party AI, image-analysis, embedding, and voice-transcription services to generate coaching language, summaries, meal and workout analysis, personalized context retrieval, voice transcripts, and proactive coaching messages. These systems are probabilistic and may produce inaccurate, incomplete, outdated, biased, unsafe, or misleading output.

Users are responsible for reviewing Grio output before relying on it. Grio output should not be treated as professional advice, definitive fact, diagnosis, treatment, prescription, emergency judgment, or a substitute for a qualified professional. Users should not enter financial information, government IDs, another person's personal information, raw medical records, or other sensitive information unrelated to Grio's wellness coaching purpose.

We may modify, limit, suspend, or remove AI features, model providers, prompts, safety rules, or generated content when needed to operate, secure, improve, or comply with laws applicable to Grio.

5. Accounts, Purchases, and Subscriptions

Grio may offer free trials, paid subscriptions, or other paid features. The product, price, renewal status, cancellation terms, refund path, taxes, and any included benefits are the terms shown in the app, checkout, app store, or payment provider at the time of purchase.

If a purchase is handled by Apple, Google, or another third-party payment provider, billing, cancellation, renewal, refund, and payment-support decisions are controlled by that provider's terms and tools. We do not control those systems and cannot guarantee that a refund or cancellation request will be granted. Deleting the app or deleting a Grio account does not automatically cancel an app-store subscription or other payment obligation.

App Store subscriptions renew automatically through the user's Apple ID unless canceled. Users can cancel at any time in App Store Settings or Apple's subscription management screen. To avoid being charged for the next renewal, Apple instructs users to cancel at least 24 hours before the end of the current trial or subscription period, and Apple may process renewal charges within the 24 hours before renewal. Canceling a subscription does not automatically create a refund; refund requests must be submitted through Apple's refund process.

6. User Content and Permissions

Users may submit photos, meal descriptions, chat messages, profile settings, diary entries, doodles, manual logs, and other content to Grio ("User Content"). The user remains responsible for User Content and represents that the user has the rights and permissions needed to submit it, including permission to submit any information about another person.

The user grants us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, analyze, summarize, transform, annotate, label, display, create derivative signals from, and otherwise use User Content as needed or useful to provide, personalize, maintain, secure, support, troubleshoot, evaluate, develop, test, operate, and improve Grio. This includes improving prompts, safety rules, retrieval, memory, nutrition and catalog matching, AI-assisted workflows, administrative tools, support tools, and other current or future Grio features. This license does not change the Privacy Policy's limits on advertising, data sale, HealthKit data, or use of personal and health-adjacent inputs for third-party providers' general AI model training.

We may review, moderate, remove, edit, reformat, summarize, classify, or decline to display User Content or generated content when we believe doing so is useful for service operation, safety, support, product quality, legal compliance, user protection, or business operations. We may also use feedback, interactions, corrections, and usage patterns to develop or improve Grio, including before public launch.

7. Apple Health and Optional Permissions

Apple Health connection is optional. If users skip or revoke HealthKit permission, they can continue using Grio with ritual answers, manual entries, and logged records. Users can revoke HealthKit permission in iOS Settings at any time.

When a user connects Apple Health or another health-data source, Grio may use derived summaries, indicators, trends, readiness or energy context, sync status, diagnostic metadata, and other wellness context to provide, personalize, support, evaluate, develop, and improve Grio. If a user chooses a feature that requires additional health-related data or more detailed derived context, Grio may process that information for the feature and related operation, support, quality, safety, and improvement purposes, subject to the Privacy Policy.

8. Notifications and Proactive Coaching

Grio may send in-app messages, push notifications, reminders, or proactive coaching prompts if the user enables the relevant permissions or settings. These messages are for general wellness, motivation, and product operation only. They are not emergency alerts, medical monitoring, safety monitoring, or a guarantee that Grio will detect a condition, missed meal, missed activity, risk, or urgent event.

Notification delivery may be delayed, suppressed, duplicated, or fail because of operating systems, device settings, quiet hours, network conditions, provider outages, or Grio's anti-spam and safety limits. Users can manage notification permissions in device settings and supported in-app settings.

9. Prohibited Conduct

• Illegal use or infringement of another person's rights
• Uploading photos, text, or other content without the rights or consent required to do so
• Uploading unlawful, harmful, exploitative, explicit, misleading, or infringing content
• Using another person's account, identity, personal information, or health data without permission
• Attacking, bypassing, reverse engineering, scraping, or manipulating Grio, its AI models, or app functionality
• Interfering with service operations, security, billing, entitlements, or usage limits
• Using Grio to generate or rely on emergency, clinical, diagnostic, or professional medical decisions
• Using Grio to create harassment, deception, spam, malware, self-harm, violence, or other unsafe content

10. Nutrition Data Sources

Grio may use third-party nutrition datasets, including Open Food Facts and USDA FoodData Central, to support food search, meal logging, and optional barcode lookup where available. These datasets are provided by their respective publishers and may contain errors, omissions, or serving-size differences. 11. Grio Intellectual Property

Grio, including its software, design, text, graphics, app flows, names, logos, and service content, is owned by us or our licensors and is protected by intellectual property and other laws. Subject to these Terms, we grant the user a limited, personal, non-transferable, non-exclusive, revocable license to use Grio for the user's own wellness and weight-management support.

Except as allowed by law or these Terms, users may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative services from Grio or its software.

12. Third-Party Services

Grio may depend on third-party services, including app stores, AI processors, cloud hosting, analytics and diagnostics providers, nutrition datasets, operating-system permissions, and external links. We are not responsible for third-party services that we do not control, and their terms and policies may also apply. Availability, security, accuracy, payment handling, refund decisions, data handling, and support for third-party services are controlled by those third parties.

13. Suspension and Termination

We may suspend or terminate access to Grio, remove content, or limit features if we reasonably believe the user violated these Terms, created security or abuse risk, infringed another person's rights, or used Grio in a way that could harm users, us, or the service. Users may stop using Grio at any time and may request account deletion as described in the Privacy Policy.

14. Disclaimers

Grio is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and accuracy. We do not guarantee that AI outputs, voice transcripts, image analysis, nutrition estimates, food identification, activity context, third-party datasets, notifications, or coaching suggestions will be complete, current, safe, suitable, available, or error-free.

The user assumes the risk of using Grio, submitting User Content, connecting optional permissions, following wellness suggestions, relying on AI output, and interacting with third-party services. Nothing in these Terms limits rights or warranties that cannot be limited under applicable law.

15. Limitation of Liability

To the maximum extent permitted by law, ManyWorlds, its affiliates, directors, officers, employees, contractors, licensors, and service providers are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages; lost profits; lost data; personal injury or property damage; or damages caused by user input errors, User Content, AI limitations, nutrition or activity estimates, voice transcription errors, notifications, store, network, or external service outages, unauthorized account access caused by the user, or user reliance on Grio. We are not responsible for decisions users make based on Grio, including food, fasting, exercise, medical, medication, emergency, financial, or personal decisions.

To the maximum extent permitted by law, our total liability for claims related to Grio is limited to the greater of the amount the user paid us for Grio in the 12 months before the claim or USD $100.

Liability that cannot be excluded or limited by law is not excluded or limited. If a limitation is not enforceable as written, it applies to the maximum extent permitted by law.

16. Indemnity

To the maximum extent permitted by law, the user agrees to defend, indemnify, and hold harmless ManyWorlds, its affiliates, directors, officers, employees, contractors, licensors, and service providers from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from the user's User Content, misuse of Grio, violation of these Terms, violation of law, infringement of another person's rights, or use of Grio for medical, emergency, unsafe, or unauthorized purposes.

17. Copyright and Other Rights Notices

If a user or rights holder believes content on Grio infringes copyright or another right, they may contact us at support@getgrio.com with enough information to identify the content, the claimed right, the requester, and the requested action.

A notice should include the work or right claimed, the location of the allegedly infringing content, the requester's contact information, a statement that the requester has a good-faith belief that the use is not authorized, a statement that the information is accurate and the requester is authorized to act, and a physical or electronic signature.

18. Changes to Grio or These Terms

We may change Grio or these Terms as the service evolves. If changes are material, we will provide reasonable notice through the app, website, email, or another appropriate channel. Continued use of Grio after updated Terms become effective means the user accepts the updated Terms.

19. Governing Law, Severability, and Waiver

These Terms are governed by the laws of the Republic of Korea, without regard to conflict-of-law rules, except where local law gives the user mandatory rights that cannot be waived. If any provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver.

20. General Terms

We may communicate with users electronically, including through the app, website, email, push notifications, or account notices. Users may not assign these Terms or transfer account rights without our consent. We may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or operation of the service.

We are not responsible for delay or failure caused by events beyond our reasonable control, including outages, platform actions, labor disputes, war, emergencies, natural events, changes in law, payment provider issues, or third-party service failures. Provisions that by their nature should survive termination, including ownership, User Content licenses for retained copies, disclaimers, limitation of liability, indemnity, governing law, and general terms, will survive.
